Terms of Use

Effective Date: September 3, 2026

These Terms of Use (“Terms”) govern your access to and use of the websites, online learning platform, courses, certification programs, workshops, communities, digital materials, and related products and services offered by Breathe Partners, LLC, doing business as Breathe Meditation & Wellness (“Breathe,” “we,” “us,” or “our”), collectively referred to as the “Services.”

By accessing, purchasing, enrolling in, or using any of our Services, you agree to these Terms. If you do not agree to these Terms, please do not use the Services.

1. Eligibility and Accounts

You may be required to create an account to access certain Services.

You agree to provide accurate and current information when creating your account and to keep your login credentials confidential. You are responsible for activity occurring through your account.

Unless expressly permitted by Breathe, your account and access to purchased or enrolled Services are for your individual use only. You may not share your username, password, course access, or account with another person.

We reserve the right to suspend or terminate access if we reasonably believe an account is being shared, misused, or used in violation of these Terms.

2. Courses, Workshops, and Digital Offerings

Breathe offers educational programs that may include self-paced courses, certification programs, workshops, recorded content, downloadable resources, community access, assessments, assignments, and other learning experiences.

The specific content, format, requirements, instructors, availability, and features of an offering may vary.

We may update or modify course materials from time to time to maintain or improve our programs. Reasonable updates to program content do not entitle participants to a refund unless otherwise required by law.

3. Payments

Prices are displayed at the time of purchase and are subject to change.

By purchasing a paid Service, you agree to pay the price and any applicable taxes or fees disclosed at checkout.

Payment may be processed through third-party payment providers. Your use of those payment services may also be subject to the provider's applicable terms and policies.

Changing the price of an offering after your purchase does not change the amount you previously paid or create an entitlement to a refund or price adjustment.

4. Refunds and Cancellations

Purchases are subject to the refund or cancellation policy presented at the time of purchase and any applicable Breathe refund policy.

Unless otherwise stated at checkout or required by applicable law, access to digital courses, workshops, downloadable materials, and other digital content may be non-refundable once access has been provided.

Any specific refund guarantee or cancellation period advertised for an individual program will control for that purchase.

5. Access to Online Content

Access periods may vary by offering. Any specific access period or limitation presented on the applicable sales or enrollment page will apply to that offering.

If an offering is described as providing “lifetime access,” this means access for as long as Breathe continues to make that offering available through its online platform. It does not guarantee that any particular technology platform, website, course, or program will operate indefinitely.

We may migrate, update, replace, or discontinue platforms or content when reasonably necessary. Where practical, we will attempt to provide reasonable notice of a material change affecting paid access.

6. Meditation Teacher Certification

Enrollment in a Breathe Meditation Teacher Certification program does not, by itself, guarantee certification.

Participants must successfully complete the requirements established for the applicable certification program. Requirements may include completing required course content, quizzes, assignments, practical exercises, recorded teaching demonstrations, final submissions, or other stated requirements.

Certain certification submissions may require review and approval by the Breathe training team before certification is issued.

Submission of an assignment does not guarantee approval. Breathe may require revisions, additional work, or resubmission when a submission does not sufficiently demonstrate completion of the applicable certification requirements.

Breathe reserves the right to establish and reasonably administer standards necessary to protect the integrity of its certification programs.

7. Meaning and Limitations of Certification

A certificate issued by Breathe confirms that the participant has completed the requirements established by Breathe for the identified program.

Breathe certification does not constitute a professional license issued by a governmental or regulatory authority and does not authorize a participant to practice medicine, psychology, psychotherapy, counseling, or another regulated profession.

Certification does not guarantee employment, income, business success, professional opportunities, insurance eligibility, or acceptance by any employer, organization, government body, credentialing organization, or other third party.

Participants are responsible for understanding and complying with laws, regulations, professional requirements, insurance requirements, and scope-of-practice restrictions applicable to their own work and location.

8. Educational and Wellness Disclaimer

Breathe's Services are provided for educational and informational purposes.

Meditation, mindfulness, breath awareness, sound practices, chakra education, energy practices, and other wellness-related content offered through Breathe are not intended to diagnose, treat, cure, or prevent any disease or medical or mental health condition.

Our Services are not a substitute for medical care, mental health treatment, psychotherapy, counseling, or advice from an appropriately qualified healthcare professional.

You are responsible for determining whether participation is appropriate for you. If you have a medical or mental health condition, are pregnant, are taking medication, or have concerns about participating in a particular practice, you should consult an appropriately qualified healthcare professional when appropriate.

If you experience significant physical or emotional discomfort during a practice, you should stop the practice and seek appropriate support when necessary.

9. No Guaranteed Results

Individual experiences with meditation, mindfulness, wellness practices, courses, certifications, workshops, and other Breathe offerings vary.

We do not guarantee particular physical, emotional, spiritual, professional, financial, or other outcomes from participating in the Services.

Testimonials or experiences shared by instructors, students, or community members reflect individual experiences and should not be interpreted as guarantees of similar results.

10. Intellectual Property

Unless otherwise stated, the Services and materials provided by Breathe are owned by or licensed to Breathe Partners, LLC and are protected by applicable intellectual property laws.

This includes, without limitation, course videos, recordings, meditation scripts, manuals, workbooks, worksheets, graphics, photographs, written lessons, training materials, presentations, downloads, assessments, and other educational content.

Your purchase or enrollment provides you with a limited, personal, non-exclusive, non-transferable right to access and use the materials for your own education and, where applicable, to apply the knowledge and skills you learn in your own practice or teaching.

You may not reproduce, copy, republish, upload, distribute, sell, sublicense, share, publicly display, commercially exploit, or create substantially reproduced versions of Breathe course materials without our prior written permission.

11. Use of What You Learn

Nothing in these Terms prevents a certified participant from applying concepts, skills, practices, or teaching methods learned through Breathe in their own meditation teaching or professional practice, subject to applicable law and professional requirements.

However, completing a Breathe program does not transfer ownership of Breathe's proprietary course materials or give you permission to reproduce or distribute Breathe manuals, videos, worksheets, presentations, scripts, branded materials, or other copyrighted content.

Unless Breathe provides separate written authorization, certification also does not grant permission to represent yourself as an employee, agent, partner, or official representative of Breathe Meditation & Wellness.

12. Student Submissions

Certain programs may ask you to submit written assignments, class plans, audio recordings, video recordings, or other materials.

You retain ownership of original content you create and submit.

By submitting materials as part of a Breathe program, you grant Breathe a limited permission to access, review, store, and internally share those materials with instructors, reviewers, administrators, and service providers as reasonably necessary to administer the program, evaluate your work, provide feedback, maintain appropriate records, and determine completion or certification.

Breathe will not use your submitted recording, name, image, voice, or original work in public advertising or promotional materials without separate permission from you.

13. Community Standards

Breathe may provide online communities, discussion areas, or other opportunities for participants to interact.

We ask participants to communicate respectfully and contribute to an environment that supports learning and thoughtful discussion.

You may not use Breathe community spaces to harass, threaten, discriminate against, impersonate, or intentionally harm another person; distribute spam or unauthorized advertising; post unlawful or infringing material; share another person's private information without permission; or engage in conduct that materially disrupts the community.

We reserve the right to moderate or remove content and, when reasonably necessary, suspend or revoke community access for violations of these standards.

14. Privacy

Your use of the Services is also subject to our Privacy Policy, which describes how we collect, use, and protect personal information.

By using the Services, you acknowledge our Privacy Policy.

15. Third-Party Services

Certain portions of the Services may be provided or supported by third-party platforms, including learning management, payment processing, email, video hosting, analytics, or other technology providers.

Breathe is not responsible for interruptions, outages, security incidents, or other circumstances caused by third-party services outside our reasonable control.

Links to third-party websites or resources are provided for convenience or educational purposes and do not necessarily constitute endorsement of those third parties.

16. Prohibited Use

You agree not to use the Services to:

17. Suspension or Termination of Access

We may suspend or terminate access to the Services when we reasonably determine that a participant has materially violated these Terms, engaged in unlawful or abusive conduct, compromised the security of the Services, infringed intellectual property rights, or created a significant risk to Breathe or other participants.

Where appropriate, we may provide notice and an opportunity to address the issue before terminating access. Serious violations may result in immediate action.

18. Availability of Services

We make reasonable efforts to keep our online Services available, but uninterrupted access cannot be guaranteed.

Temporary interruptions may occur because of maintenance, updates, technical issues, third-party platform outages, circumstances outside our control, or other operational needs.

We may modify or discontinue portions of the Services when reasonably necessary.

19. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Services are provided on an “as is” and “as available” basis.

Breathe does not make warranties regarding uninterrupted availability, error-free operation, specific results, or the suitability of the Services for every individual or purpose.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

20. Limitation of Liability

To the fullest extent permitted by applicable law, Breathe Partners, LLC and its owners, employees, instructors, contractors, representatives, and affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the Services.

To the fullest extent permitted by applicable law, Breathe Partners, LLC's aggregate liability arising from a particular paid Service will not exceed the amount you paid to Breathe for that Service.

These limitations do not apply where liability cannot lawfully be limited or excluded.

21. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Breathe Partners, LLC and its owners, employees, instructors, contractors, and representatives from claims, liabilities, damages, losses, or reasonable expenses arising from your unlawful use of the Services, your material violation of these Terms, or your infringement of another person's rights.

22. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

Any dispute arising out of or relating to these Terms or the Services will be subject to the jurisdiction of the appropriate state or federal courts located in Texas, unless applicable law requires otherwise.

23. Changes to These Terms

We may update these Terms periodically to reflect changes in our Services, business practices, or legal requirements.

When changes are made, we will update the Effective Date at the top of these Terms. When required by law or appropriate based on the nature of the change, we may provide additional notice.

Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.

24. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.

25. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms, policies, or conditions expressly presented in connection with a particular offering, constitute the agreement between you and Breathe concerning your use of the Services.

If specific terms for an individual program conflict with these general Terms, the specific terms for that program will control with respect to that program.
